JOB SUMMARY:

CARE is looking to hire an experienced attorney to provide legal services primarily related to contracts. As Senior Counsel, you will support innovative colleagues across CARE who are tackling difficult humanitarian and development challenges by engaging private sector actors, designing market-based approaches and incorporating digital solutions into our programmatic work. You will be primary legal advisor to a global supply chain team that has embarked on a multi-year transformation project that aims to enhance the cost, speed, scale, sustainability and quality of CARE’s humanitarian responses and other programs. You will also partner with stakeholders around the world to oversee and manage a range of other legal issues to help the organization achieve its mission.

RESPONSIBILITIES:

Draft, review and negotiate contracts

  • Draft, review and negotiate a wide variety of contracts, including supply chain agreements, framework/master services agreements, service terms, SaaS and IT licenses, partnership, technology, data processing, teaming, fundraising and grant agreements, with an emphasis on strategic vendor agreements
  • Partner with supply chain, finance, IT, country offices and other internal stakeholders to ensure that contract terms align with CARE’s organizational objectives, strategic initiatives and risk thresholds
  • Resolve routine and unique contracting issues, including negotiating alternative contractual language when necessary, and handling contractual disputes

Advise on applicable laws and develop templates and tools

  • Advise on applicable laws to help the organization navigate through a variety of U.S. and international regulatory and compliance matters, particularly related to contracting, supply chain, privacy and technology
  • Develop and maintain standardized contract templates, playbooks, policies, processes, toolkits, risk management practices and related training programs that enhance efficiency of contract management practices and systems
  • Support the design, maintenance and integration of global supply chain technology platform that includes Contract Lifecycle Management (CLM)

Other legal duties as assigned

  • Assist with other legal matters as assigned, which may include general corporate and commercial matters, entity registration and governance, tax, IP and other matters associated with nonprofits

QUALIFICATIONS:

  • Juris Doctor (JD) or equivalent law degree from an accredited institution
  • Admittance to the bar in at least one jurisdiction
  • 5+ years of transactional legal experience as a lawyer in-house and/or at law firm
  • Strong knowledge of contracts law principles, commercial transactions, and relevant legal frameworks, with a proven track record of having successfully negotiated complex agreements
  • Experience with technology, privacy and data protection, and AI governance issues
  • Effective communication skills, including clear and concise writing skills
  • Ability to collaborate, inspire trust and work independently with stakeholders at all levels of the organization and with multinational teams operating in multiple time zones
  • Strong responsiveness, time management, and organizational skills; ability to prioritize, multi-task, meet deadlines and maintain flexibility in a dynamic and fast-paced environment
  • Comfortable deploying a calibrated risk-based approach to complex and novel legal issues
  • Self-starter and quick learner with demonstrated ability and strong desire to develop expertise in additional legal subject matters, grow professionally, upskill, implement new technologies and processes, and remain agile and adaptable
  • Fluent English; additional languages are a plus
  • Dedication to and interest in the mission of CARE
  • Occasional international travel may be required
