Trustee At Global Network of Civil Society Organisations for Disaster Reduction

GNDR is seeking a Trustee to join the governing board of our network.

The Global Network of Civil Society Organisations for Disaster Reduction (GNDR) is an international network of civil society organisations, associations, and individuals who are committed to working together and engaging with partners and other stakeholders to increase community resilience and reduce disaster risks by influencing policies and practices around the world. Currently, there are more than 1,500 CSOs who are members of the network from 128 countries.

The day-to-day management of the GNDR is carried out by a secretariat, led by the Executive Director, based in London. GNDR is a registered charity and company under UK law and has five Trustees. The Trustees have the ultimate responsibility for governing GNDR. Part of Trustees’ responsibilities has been delegated to a Global Board comprising 13 Regional Representatives and 2 independent Board members. Trustees are also part of the Global Board. Fundraising, financial compliance, and risk management of the network is retained as the primary role of the trustees, in addition to overseeing the general governance compliance of the network, with the primary role of the Global Board being setting and monitoring strategy.

The trustees meet twice a year. In addition to this, Trustees, being part of GNDR’s Global Board, meet with the Regional Representatives on a quarterly basis. Depending on the circumstances the majority of the meetings are currently being held online. For face-to-face meetings, agreed travel and expenses will be paid or reimbursed, otherwise, the role is voluntary and unpaid.

Candidate profile

We are seeking candidates with expertise in the following areas:

• CEO/Deputy CEO or senior leadership experiences within the not-for-profit sector;
• Communications, fundraising, and donor liaison experience;
• Experience in the humanitarian or development sectors;
• A passion for building the resilience of communities at risk of disasters;

Role

The Trustees have ultimate responsibility for directing the affairs of GNDR, ensuring it is solvent, complying to UK charity law, and delivering its objectives, as detailed in GNDR’s Articles of Association.

The key roles of the Trustees include:

• Ensuring GNDR’s strategic objectives and plans as developed or approved by the Global Board are in accordance with its charitable mandate.
• Ensure all income and expenditure are raised and utilised in compliance with GNDR’s charitable mandate and relevant charity law.
• Final approval of funding allocations determined by the Global Board.
• Guided by the Finance and Audit Working Group, provide oversight and implementation of investment and other policies and banking arrangements..
• Approval and signing off of statutory financial reports and accounts in compliance with the Companies Act and GNDR’s Charitable Objectives, including the annual Trustees’ Reports.
• Advice and guidance to the Global Board on GNDR’s legal requirements and governance arrangements in the UK, ensuring that GNDR’s governance processes comply with its governing documents.
• Support the Global Board Chairperson and Trustees Chairperson with the appointment of the Executive Director as an employee of the UK registered charity, including inputting to the regular perforGlobal Network of Civil Society Organisations for Disaster Reductionmance appraisal.
• Oversight and supporting the development of an appropriate salary structure for the GNDR Secretariat employees, including determining the appropriate salary level for the remuneration of the GNDR Executive Director.
• Ensure adequate risk management processes are in place and are reviewed and updated regularly. Assess organisational risks at every meeting and report on high risks to the Global Board.
• Approval of legal compliance policies such as Health and Safety, Equal Opportunities, and Data Protection.
• Oversight of statutory reporting to UK governance bodies (Charity Commission, Companies House).
• Being Ambassadors for GNDR within public and external audiences.
• Participation in relevant Working Groups: Membership, Finance & Audit, Resources or Governance.
