Interim General Counsel and Corporate Secretary At Relief International

Depending on the nature of services this contract will require the consultant delivering these services will need “Advanced” pre hire contracting checks

SCOPE AND NATURE OF THE SERVICES:

  • Scope of Work Summary
    • Respond to requests for information from the internal departments related to business continuity, including contract review, donor agreements, sub-award/sub-partner agreements, insurance coverage and disclosures, due diligence, enhanced due diligence, employment law
    • Liaise with the Board Chairs for the Human Resources and Governance Committee and the Audit and Risk Committee to ensure they are receiving updates on legal risks for RI’s worldwide operations
    • Demonstrate knowledge of compliance related to laws and donor regulations, and legal research and writing experience
    • Convene the HR&G Subcommittee on Enterprise Structures. Have prep meetings with outside counsel to ensure the meetings are decision oriented
    • Oversee the Awards Management Unit
    • Participate in Senior Management Team meetings and Leadership Team meetings
  • Key Delivery Milestones
    • In coordination with the CEO, Chief of Staff, and Legal Operations Manager, ensure the Q1 2023 Boards-level committees and Boards meetings are scheduled, packets delivered with enough time for review
    • Organize the Office of the General Counsel to succeed in its 2023 Objectives
    • Work with the Finance Department to distribute the 2023 legal snapshot in preparation of the 2023 audits
    • Oversee the outside counsel and internal team working on a 2023 OFAC Specific License renewal
    • Support the CECO with the compliance program as needed
    • Work with the CEO and HRG Chair to determine the best way to structure boards-level committees related to HR (people and culture), Governance, and Nominations and present this information to the Boards for approval
    • Ensure the Awards Management Unit is represented at the Senior Management Team meetings and Leadership Team meetings
